# Statement of Work · Fixed-fee Sprint

## 1 · Scope

Vendor will design, build, and ship a [USE_CASE_NAME] for Client per the
specifications in Appendix A.

**In scope:**
- Discovery interviews (up to 8 stakeholders)
- Architecture design + signed approval before build
- Development, testing, and deployment to production
- Eval suite seeded with 20+ cases
- Observability dashboard configuration
- Runbook + on-call playbook
- Two 90-minute knowledge-transfer sessions

**Out of scope (separate quote if needed):**
- Frontend redesign beyond the agent surface
- Data migration from legacy systems
- Compliance audit certification
- Post-launch maintenance beyond the 30-day stabilization window

## 2 · Deliverables

D1 — Architecture document (week 2)
D2 — Working v0.5 with eval suite (week 4)
D3 — Production-ready v1.0 with runbook (week 6)
D4 — Final handoff with KT sessions (week 7)

## 3 · Timeline + payment

- Total fixed fee: **$[AMOUNT_USD] USD**
- 30% on signing — due before kickoff
- 30% at D2 (midpoint demo) — Net-15
- 40% at D4 (handoff acceptance) — Net-15

Currency conversion (if invoiced in EUR/GBP/INR) at the rate on invoice date.

## 4 · Acceptance criteria

D2 acceptance: Working agent answering [TARGET]% of [CASE_TYPE] from the
eval suite, with citations.

D4 acceptance: Production-deployed; all eval-suite cases passing at the
agreed threshold; runbook reviewed and signed off by Client's named owner.

## 5 · IP ownership

All code, prompts, configurations, eval suite cases, and deployment
artifacts produced under this SOW are owned by Client upon final payment.
Vendor retains the right to reference the engagement in its portfolio with
Client's written approval on what's public vs anonymized.

## 6 · Confidentiality

Both parties bound by NDA dated [NDA_DATE]. Vendor's sub-processors
(Anthropic, OpenAI, Resend, Vercel) operate under their own DPAs, copies
of which are available on request.

## 7 · Change requests

Out-of-scope work quoted separately and signed by both parties before
execution. Vendor will not commence out-of-scope work on the basis of
in-scope payment.

## 8 · Termination

Either party may terminate with 14 days written notice. Vendor entitled
to payment for work performed up to termination date, plus 50% of the
in-flight milestone if work was substantially complete.

## 9 · Warranties + limitations

Vendor warrants that Deliverables will materially conform to the
Specifications for 30 days post D4 acceptance. Vendor's aggregate
liability under this SOW is capped at the total fees paid.

## 10 · Governing law

This SOW is governed by the laws of Maharashtra, India. Disputes resolved
by the courts of Pune.

# Statement of Work · Monthly Retainer

## 1 · Scope

Vendor will provide ongoing AI engineering services to Client, with a
dedicated team allocation per the table in Section 2.

Typical work includes:
- Tuning prompts and eval suites as the product evolves
- Adding new agent capabilities
- Performance and cost optimization
- Production incident support
- Quarterly architecture review

## 2 · Team allocation

## 3 · Term

Three-month minimum starting [DATE]. After month 3, month-to-month with
30 days written notice from either side.

## 4 · Payment

- Invoiced on the 1st of each month, payable by the 15th
- Net-15 for first 3 months, then standard
- Hours don't roll over month-to-month
- Currency: USD (EUR/GBP/INR available at invoice-date rate)

## 5 · Hours + utilization

Vendor will provide detailed weekly hours breakdown per invoice. Hours
spent on production incidents are billed first; planned work fills the
remainder. Client receives a monthly utilization summary.

## 6 · Out-of-scope projects

New use cases not covered by the existing eval suite are quoted as
separate Fixed-fee Sprints. Vendor will not consume retainer hours on
out-of-scope projects without explicit Client approval.

## 7 · IP ownership

Same terms as Vendor's standard Sprint SOW: all artifacts produced under
this retainer belong to Client. Vendor retains portfolio reference rights
with Client's approval.

## 8 · Confidentiality + DPAs

Governed by Master Service Agreement dated [MSA_DATE] and DPA dated
[DPA_DATE].

## 9 · Change to allocation

Adjustments to monthly allocation require 30 days notice from either
party. Allocation changes take effect at the start of the following month.

## 10 · Termination

Beyond month 3 minimum, either party may terminate with 30 days written
notice. Final invoice issued at end of notice period.

# Statement of Work · Hourly / T&M

## 1 · Scope

Vendor will provide AI engineering services on a Time-and-Materials basis
for the projects described in Appendix A. Typical engagement types:
discovery, proof-of-concept, audit, advisory, niche extension.

## 2 · Rates

- Invoiced weekly for the prior week's hours
- Net-15 payment terms
- First-time clients: 30% advance against estimated first-month total

## 5 · Convertibility to Fixed-fee Sprint

Either party may propose converting this engagement to a Fixed-fee Sprint.
Hours already logged count toward the Sprint total. Conversion requires a
signed amendment to this SOW.

## 6 · IP ownership

All code, prompts, configurations produced under hourly engagement belong
to Client immediately. Vendor retains no rights beyond portfolio reference
(with Client's approval).

## 7 · Confidentiality

Subject to NDA dated [NDA_DATE]. Vendor handles Client data per its
published Privacy Policy and any specific data-handling requirements in
Appendix B.

## 8 · Termination

Either party may terminate with 7 days written notice. Vendor entitled to
payment for hours logged up to termination effective date.

## 9 · Governing law

Maharashtra, India.
